1. Our Services

Araneo provides a cloud-based CRM platform with AI-powered lead qualification features for rental real estate agencies. The Services enable you to manage tenant leads, qualify applicants using conversational AI via Facebook Messenger, publish listings to your Facebook Business Page, and streamline your rental screening process.

The Services are intended for use by real estate agencies and rental agents operating in Canada. Those who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

2. Subscription and Billing

Subscription Plans

Access to the Services requires a paid subscription (or use of the free tier where available). We offer various subscription plans with different features and pricing, as described on our website. By subscribing, you agree to pay the applicable fees for the term you select.

Billing and Payment

All payments are processed through Stripe. By providing your payment information, you authorize us to charge your payment method for the subscription fees. You are responsible for maintaining accurate billing information.

Auto-Renewal

Unless you cancel before the end of the current billing period, your subscription will automatically renew for successive periods at the then-current rate.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at hello@araneo.io. Cancellation is effective at the end of your current paid period.

Refund Policy

Subscription fees are non-refundable except as required by applicable law. If you believe you are entitled to a refund due to a defect in the Services, contact us within fourteen (14) days of the issue arising.

Price Changes

We will provide at least thirty (30) days' notice before any price increase. Continued use after the effective date constitutes agreement to the new price.

Taxes

All fees are exclusive of applicable taxes (including HST/GST) unless otherwise stated. You are responsible for applicable taxes based on your billing address.

3. Account Registration and Security

Account Creation

To use the Services, you must register for an account by providing accurate, current, and complete information. We reserve the right to suspend accounts with inaccurate information.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to: (a) keep your login credentials confidential; (b) immediately notify us of any unauthorized use; and (c) log out at the end of each session on shared devices.

Account Responsibility

You are responsible for all activities that occur under your account. You agree to accept responsibility and indemnify us for any unauthorized use.

4. Intellectual Property Rights

We own or are licensed to all intellectual property rights in our Services, including source code, functionality, software, website designs, text, and graphics (the "Content"), as well as our trademarks, service marks, and logos (the "Marks").

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services solely for your internal business purposes.

No part of the Services, Content, or Marks may be copied, reproduced, republished, posted, publicly displayed, encoded, translated, distributed, sold, or licensed for any commercial purpose without our express prior written permission.

You retain all rights to data you upload or provide to the Services ("Your Data"). By using the Services, you grant us a limited license to host, store, process, and display Your Data solely to provide the Services to you.

5. User Representations

By using the Services, you represent and warrant that: (1) you have the legal capacity to agree to these Legal Terms; (2) you are not a minor; (3) you will not access the Services through automated or non-human means; (4) you will not use the Services for any illegal or unauthorized purpose; and (5) your use of the Services will not violate any applicable law or regulation.

6. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. As a user, you agree not to:

• Systematically retrieve data to create a database or directory without written permission
• Circumvent, disable, or interfere with security-related features of the Services
• Use the Services in a manner inconsistent with applicable laws or regulations
• Upload or transmit viruses, malware, or other harmful code
• Attempt to impersonate another user or person
• Attempt to bypass any access restrictions on the Services
• Use data mining, robots, scrapers, or similar data gathering tools without permission
• Make any unauthorized use of the Services, including collecting user data for unsolicited contact
• Use the Services to compete with us or for revenue-generating purposes not endorsed by us
• Harass, threaten, or intimidate our employees or agents

7. Artificial Intelligence Services

AI-Powered Features

The Services include artificial intelligence features ("AI Features") that provide automated lead qualification, scoring, insights, and recommendations. These AI Features are powered by third-party AI service providers, including Anthropic and OpenAI.

AI Output Disclaimers

YOU ACKNOWLEDGE AND AGREE THAT: (1) AI-generated outputs, including lead scores, qualifications, and recommendations ("AI Outputs"), are provided for informational purposes only and should not be relied upon as the sole basis for any business decision. (2) AI Outputs may contain errors or inaccuracies. We do not guarantee the accuracy, completeness, or suitability of any AI Output for any particular purpose. (3) You are solely responsible for evaluating AI Outputs before taking any action. (4) We are not liable for any decisions made or consequences arising from your reliance on AI Outputs.

No Professional Advice

AI Outputs do not constitute professional, legal, financial, or housing advice. The AI Features are tools to assist your decision-making and are not a substitute for professional consultation or your own due diligence.

Human Rights Compliance

You are solely responsible for ensuring that your use of AI lead qualification complies with applicable human rights legislation, including the Ontario Human Rights Code. Araneo's scoring system is designed to evaluate financial and logistical factors only. You must not use AI Outputs to discriminate against applicants on the basis of any protected ground under applicable law.

AI Data Processing

To provide AI Features, your data may be processed by our third-party AI service providers. By using the AI Features, you consent to this data processing. We have agreements in place with our AI service providers to protect your data.

8. Your Data and Privacy

You retain all rights to Your Data. By using the Services, you grant us a limited license to host, store, process, and display Your Data solely to provide the Services to you. You are solely responsible for: (a) the accuracy and legality of Your Data; (b) obtaining all necessary consents from tenant applicants; and (c) maintaining appropriate backups.

Our collection and use of personal information is governed by our Privacy Policy. By using the Services, you consent to the practices described therein.

Upon termination of your account, we will delete or anonymize Your Data within a reasonable period, except where required by law.

9. Services Management

We reserve the right to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates these Legal Terms; (3) restrict access to or disable any portion of the Services; and (4) otherwise manage the Services in a manner designed to protect our rights and facilitate proper operation.

10. Term and Termination

These Legal Terms remain in full force and effect while you use the Services. We reserve the right to deny access to the Services to any person, at any time, without notice or liability, for any reason including breach of these Legal Terms.

Upon termination: (a) your right to access the Services will immediately cease; (b) we may delete Your Data in accordance with our data retention policies; (c) any outstanding fees become immediately due; and (d) provisions that by their nature should survive termination will survive, including intellectual property rights, warranty disclaimers, indemnification, and limitations of liability.

11. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times. We reserve the right to suspend, discontinue, or otherwise modify the Services at any time without notice. We will not be liable for any loss or inconvenience caused by inability to access the Services during any downtime.

12. Governing Law

These Legal Terms shall be governed by and construed in accordance with the laws of Slovakia. Araneo s.r.o and you irrevocably consent that the courts of Slovakia shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

13. Dispute Resolution

Informal Negotiations

Before initiating any formal legal proceeding, the parties agree to first attempt to resolve any dispute informally for at least thirty (30) days by sending written notice of the dispute to hello@araneo.io.

Formal Proceedings

If informal negotiations fail, any dispute shall be resolved by the courts of Ontario, Canada. The parties agree to submit to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive or other equitable relief where necessary to protect intellectual property rights or prevent imminent harm.

14. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT AND WILL ASSUME NO LIABILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT OR MATERIALS, PERSONAL INJURY OR PROPERTY DAMAGE, UNAUTHORIZED ACCESS TO OUR SECURE SERVERS, ANY INTERRUPTION OR CESSATION OF TRANSMISSION, ANY BUGS OR VIRUSES, OR ANY ERRORS OR OMISSIONS IN ANY CONTENT.

15. Limitations of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

16. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable legal fees, arising out of: (1) your use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties; (4) your violation of any third party's rights; (5) your use of AI Outputs in a manner that causes harm to any third party; or (6) Your Data or any content you upload to the Services.

17. Miscellaneous

These Legal Terms and any policies or operating rules posted by us constitute the entire agreement between you and us. Our failure to exercise any right or provision shall not operate as a waiver. These Legal Terms operate to the fullest extent permissible by law. We may assign our rights and obligations at any time. If any provision is determined to be unlawful or unenforceable, that provision is severable from these Legal Terms without affecting the validity of remaining provisions. There is no joint venture, partnership, employment, or agency relationship created between you and us as a result of these Legal Terms.
